LeddarTech Holdings Inc., a global leader in AI-based low-level sensor fusion and perception software solutions for Advanced Driver-Assistance Systems (ADAS), autonomous driving (AD), and parking applications, held its annual general and special meeting of shareholders on March 26, 2025, in Quebec City, Canada.

The meeting marked several significant changes and approvals within the Corporation. Nick Stone and Michelle Sterling, who were members of the Board up to the Meeting, have decided not to stand for reelection. Six new directors were elected to serve until the next annual meeting or until a successor is elected or appointed. The new chairman of the supervisory board, appointed through the recent shareholder elections, is Pierre Beaudoin.

The newly elected directors include Frantz Saintellemy, Charles Boulanger, Derek Aberle, Yann Delabrière, Sylvie Veilleux, and Lizabeth Ardisana. The Corporation's management information circular dated February 7, 2025, is available on SEDAR+ and EDGAR for further details on the matters voted on.

One of the key decisions made at the meeting was the appointment of Richter LLP as auditors of the Corporation. This appointment was approved by an impressive 99.81% of the votes. The board of directors was also authorized to fix the auditors' remuneration.

In addition, two amendments were made to LeddarTech's omnibus equity-based incentive plan. The first amendment, which aimed to increase the number of common shares available for issuance, was approved and ratified with 98.62% of votes in favour. The second amendment, which introduced an evergreen provision, was approved and ratified with 70.51% of votes in favour.
